This 2-day, 16-hour course covers all aspects of business brokerage in California. Key topics include business brokerage standards, code of ethics, professional designations and licensing. The course also teaches you the basics of “SDE,” which is recasting seller’s discretionary earnings, finding and using comp databases, and techniques for closing the sale. All new members are required to take CABB 101 within 9 months of joining.

NorCal – CABB 201 – Advanced Recasting and Business Valuation

This is the final course requirement for the Certified Business Broker (CBB) designation.
You will learn business valuations by recasting financials to determine Sellers Discretionary Earnings (SDE), creating a Risk Analysis using the CABB worksheet, determine a Broker’s opinion of value for both Asset and Stock Sales using 4 different methodologies with the Income and Market Approaches, including models for Multiple of Earnings, Excess Earnings and cap rate model, and using the comps (done-deal) model. We will also discuss getting paid for this process and talk about different valuation packages available to brokers.

M&A Source Course #446: Working with Tax Returns in an M&A Transaction

Tax Returns are utilized for businesses of all sizes as a key resource to provide insight into not only the tax matters of a business but also the current and historical operating results of a business. Although there is some similarity between how information is presented in a tax return versus a set of financial statements, there are also significant reporting differences. Further complication is added by the fact that tax returns between different entity types also have differing ways of reporting information.
The ability to read a tax return, locate information and interpret what is presented in a tax return is critical to an intermediary’s knowledge base. This course will cover the tax return for a C-Corporation, S-Corporation and an LLC taxed as a Partnership. The sections and structure of the various tax returns will be reviewed. The requirements for reporting information will be covered as well as how information is presented differently in a tax return versus a financial statement. This course will be a great refresher for some and a new frontier of information for others. Regardless of your years of experience, the information covered will benefit your ability to serve your clients.

This 8-hour course is designed for California business brokers at all experience levels. The purpose of this course is to examine a variety of aspects of small business transactions from a legal perspective and gain a better understanding of the way attorneys view transactions. By having a better understanding of the legal aspects and attorney viewpoints, brokers will be in a position to (a) foresee potential issues before they arise, (b) have more informed conversations with attorneys which may help them save transactions from “death by lawyer”, (c) be able to better represent their clients by identifying and addressing issues that may create unwanted legal liability, (d) preserve and protect their broker fees, and (e) avoid litigation and stay out of court.
