Hidden time bombs in your listing agreement…your success fee is at risk.

Issue/Problem faced by Business Brokers:
Most business brokers’ primary source of income is based on a deal’s success fees. If the deal doesn’t close, the business broker is not entitled to receive its success fees.

The business broker’s right to receive its success fees is governed by the language in the listing/engagement agreement with the business broker’s client (typically, the broker’s client is the seller of the business, but the same concept generally applies when the business broker’s client is the buyer).

Despite the overwhelming financial importance of success fees, business brokers often unknowingly risk their right to receive success fees because the language in their listing/engagement letter includes words, clauses, and other language that might limit or preclude the broker from having the right to receive the intended success fee.

Objectives/Takeaways for Business Brokers:
Business brokers will learn to identify and understand some of the key language in their listing/engagement contracts to help them mitigate potential threats to their contractual right to receive success fees from their client.

We will review a couple of sample listing/engagement agreements and provide examples of the language in them that may create the risk to their success fee.
