CABB 201 – Advanced Recasting and Business Valuation

In this 4-day, 12-hour course you will learn business valuations by recasting financials to determine Sellers Discretionary Earnings (SDE), creating a Risk Analysis using the CABB worksheet, determine a Broker’s opinion of value for both Asset and Stock Sales using 4 different methodologies with the Income and Market Approaches, including models for Multiple of Earnings, Excess Earnings and cap rate model, and using the comps (done-deal) model. We will also discuss getting paid for this process and talk about different valuation packages available to brokers.

Elements of A Business Purchase Agreement

We are live!  Join your fellow members and invited guests to our monthly June Ohio Business Broker Association meeting.  This will be an in-person luncheon meeting and will require RSVP.

Our Speaker Series guest will cover what every business broker or advisor needs to know regarding the business purchase agreement.  A business purchase agreement is entirely different from the purchase of real estate or other real property assets.  

A business is unlike a simple “tangible” hard asset.  A business purchase has many moving parts to get to a deal to the closing table.   Items covered by our speaker:

  • How is the Allocation of Purchase Price agreed upon? (It’s not real estate)
  • How are Accounts Receivable handled?
  • What about Accounts Payable?
  • What happens to the employees when the new owner takes over?
  • What is being purchased, the corporation, assets or both?

Future of Tax Law Impacts on the Current Sale of Businesses

Roman will discuss how the proposed new tax laws may impact the valuation of businesses and the buying and selling of companies, and what should be utilized to minimize and possibly eliminate current and future tax liabilities as a result of these tax impacts.

About Mr. Basi: Roman Basi is the current President of The Center for Financial, Legal & Tax Planning, Inc.
Roman is an Attorney, a CPA, Managing Real Estate Broker, Title Insurance Agent and an
instrument rated private pilot. Roman is also one of the Tax Course Instructors for the Internal Revenue Service’s Annual Filing Season Program for Tax Return Preparers throughout the United States. Roman is admitted to practice in Illinois, Florida, Arizona, Missouri, Federal District Court of Illinois Southern District, the United States Court of Appeals for the 7th Circuit, and Roman is also admitted to practice in the United States Supreme Court being sworn in to the highest court in the summer of 2015 in front of all 9 Supreme Court justices.
